Vgentive Partner Program Terms

1. The program

The Partner Program lets you refer hospitals, clinics, nursing homes and diagnostic centres in India to Vgentive and earn commission when they become paying customers. We do not guarantee any level of earnings.

2. Your account

You must give accurate details, keep one account per email, and keep your password safe. You confirm that taking part does not breach any law or any agreement with your employer or another company.

3. Referrals

A facility counts as your referral only if it signs up with your partner link or code. Each facility belongs to one partner only, and the first valid signup decides which one.

4. Layers and rates

A "paying facility" is a referred facility that has paid its onboarding fee. Your layer depends on how many paying facilities you have:

- Starter (up to 1 paying facility): 5% commission

- Growth (2 to 5 paying facilities): 10% commission

- Champion (6 or more): 10% commission plus ₹0.20 for each billed call minute

A facility counts toward your layer from its first paid onboarding fee, and that same payment earns the new rate. A new rate applies only to payments after you reach it, never to earlier ones. Your layer does not go down under these terms. The percentage applies to onboarding fees and credit recharges, as set out in clause 5.

5. What earns commission

Commission is calculated at your layer's percentage on onboarding fees and credit recharges that we actually receive from the facility, excluding GST. Nothing is earned on line rental, taxes, free trial credits, or credits we give for free. The per-minute amount applies to billed voice call minutes only. Calls shorter than 10 seconds do not count, and minutes count only up to the credits the facility has bought through recharges.

6. Earning period and rate changes

Each facility earns for you for 12 months from its first paid onboarding fee. Rates may change for new referrals. We may change rates, layers or these terms, and we will publish the new version on this site.

7. Partner credits and payouts

Earnings are shown in partner credits. 1 partner credit equals ₹1. They are separate from the call credits facilities buy and cannot be transferred. New earnings stay pending for a review period (currently 15 days) and then become available. The minimum withdrawal is ₹500. Every withdrawal is reviewed and approved by us before payment. You must give your PAN and payout details. Taxes, including TDS where applicable by law, may be deducted before payout. You are responsible for your own taxes, including GST if it applies to you.

Withdrawals are available only after at least one facility you referred has paid its onboarding fee. Until then, welcome credits, partner referral credits, and commission remain in your balance but cannot be withdrawn.

8. Referring other partners

When another person joins the Partner Program through your partner invite link and becomes an active partner, we may credit ₹100 in partner credits to your account. Partner referral credits are shown as pending until they become available under clause 7 and follow the same withdrawal rules as other earnings.

9. Welcome partner credits

When you verify your email and accept the current Partner Program Terms, we may credit ₹100 as a one-time welcome balance in partner credits. It is shown as pending until it becomes available under clause 7. Welcome credits follow the same withdrawal rules as partner referral credits and commission. We may change or withdraw this offer for new partners when we publish an update to these terms.

10. Refunds and reversals

If a facility's onboarding fee is refunded, the commission on that onboarding fee is reversed. Other adjustments may apply.

11. What is not allowed

- Making calls or creating activity yourself to increase minutes or earnings

- Referring a facility you own, run, or are connected to

- Misleading claims about Vgentive, or promising results we have not promised

- Spam, or contacting patients

- Giving gifts or benefits to doctors or hospital staff in a way the law or their rules do not allow

If we find or reasonably suspect a breach, we may suspend your account, freeze or cancel pending and available earnings, and remove you from the program. We will tell you the reason.

12. Information and privacy

The dashboard shows limited information about your referred facilities, such as name, status, billed minutes and your earnings. It is designed not to show patient data or call content. Keep this information confidential. We handle personal data as described in our Privacy Policy.

13. Relationship

You are an independent partner, not our employee or agent. You cannot sign contracts or make promises on our behalf. We may sell to anyone, including facilities you speak to.

14. Changes and ending

We may update these terms or end the program. You may be asked to accept a new version to continue. You can close your account at any time. Earnings already available and not affected by a breach will be paid after review.

15. Liability

We are not liable for indirect or lost profits. Our total liability to you is limited to the commission payable to you.

16. Governing law and disputes

These terms are governed by the laws of India.

Courts at Deoria have jurisdiction.
